DEFINITIONS

“Erudite”: is to mean Erudite Training Solutions Pty Ltd and any and all sponsors, affiliates, official partners, associates, agents, joint ventures, employees and third-party service providers.

“Program(s)”: Any program(s), product(s), content, event(s), course(s), service(s) or any such material, facility or resource offered by Erudite.

“Website”: The Erudite Training Solutions website, or any official social media platforms.

“Terms”: The Erudite ‘Terms and Conditions’.

“Intellectual Property”: Designs within the meaning given in the Designs Act 2003 (Cth), patents within the meaning given in the Patents Act 1990 (Cth), trademarks within the meaning given in the Trades Mark Act 1995 (Cth), works within the meaning given in the Copyright Act 1968 (Cth), trade secrets, procedures, business methods and processes, technical designs, applications, patentable processes and/or articles, and includes:

a) all inventions, discoveries and novel designs, whether or not registrable as designs, patents or trademarks; and
b) the entire copyright in all works.

All intellectual property rights (including, without limitation, copyright, trademarks, patents, design rights and all other forms of intellectual property rights existing in the world) on the website are owned by or licensed to Erudite and its affiliates.

“Delegate(s)/Attendee(s)”: All person(s) attending a program as a participant by way of purchased or complimentary ticket(s).

“Speaker(s)”: All person(s) attending a program as a speaker.

“In-person”: Any program held at a physical venue.

“Virtual”: Any program held via Zoom or other video-conferencing/audio-visual mediums.

“Hybrid”: The modal combination of in-person and virtual facilities.


1. ENTIRE AGREEMENT
1.1 The Erudite Terms constitutes the entire agreement between Erudite and you, and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and undertakings between you and Erudite, whether written or oral, relating to this subject matter.

2. ACCEPTANCE OF THE TERMS AND CONDITIONS
2.1 Your purchase of any Program(s) offered by Erudite, constitutes your acceptance of the following terms and conditions. This applies to any tickets offered and accepted on a complimentary basis.

3. PROGRAM(S)
3.1 Erudite Training Solutions Pty Ltd reserves the right to change the content and timing of any program, the speakers, and the date and venue due to reasons such as scheduling issues.

4. PRICE AND PAYMENT
4.1 Prices shown on the website are in Australian Dollars (AUD) and are inclusive of GST. All prices are subject to change without prior notice. However, once a purchase is made, the agreed price at the time of transaction will be honoured.

4.2 Payments for any Program(s) must be made in full by or on behalf of the Delegate(s)/Attendee(s) at the time of purchase.
EFT Payments:
Where Electronic Funds Transfer (EFT) or bank transfer is the chosen method of payment, registration will not have been deemed to be completed until full payment of purchased tickets has been received. The total amount payable must be paid within 24 hours (from date and time of purchase) to reserve your tickets. If payment is not received within this time, your reserved seats will be cancelled, and your tickets will be invalid.

PLEASE NOTE:
Once EFT payment has been made, you are required to email a copy of our remittance/proof of payment to info@eruditets.com. Please ensure you include your Order Number in your email subject line.
Upon receipt of remittance/proof of payment, our team will send you an email confirming registration. We recognise that transferred funds may take time to clear; therefore, proof of remittance submitted within the specified timeframe will be considered sufficient.

To ensure your reserved seats are not cancelled and that confirmation of your registration is received in a timely manner, please provide us with the above as soon as possible.

4.3 Erudite accepts the following payment methods: credit/debit cards, bank transfers, and online payment gateways (e.g., PayPal, Stripe).

4.4 A confirmation of registration will be received within three (3) calendar days following receipt of full payment. In the instance a confirmation of registration is not received within this period, please notify Erudite without undue delay.

4.5 All payments must be received in full prior to the commencement of any Program(s) to confirm your seat(s). If payment is not received within the stipulated time, Erudite reserves the right to cancel or re-allocate your ticket.

4.6 Where applicable, all Program fees are inclusive of program materials, meals, and refreshments provided during the Program(s) in instances where the Program is delivered in-person or through a hybrid format. The Program fee does not include accommodation. However, where applicable, Delegate(s)/Attendee(s) shall be entitled to access the Erudite corporate rate at the designated hosting venue/hotel. Additional details regarding accommodation and applicable rates shall be made available upon request for each respective venue.

4.7 In instances where additional services are rendered by a third-party provider and such services incur fees (e.g., EI Assessment), Erudite shall be subject to the terms and conditions of the respective third-party service provider. Any payments made in relation to these services shall be governed by the provider’s terms and conditions, including but not limited to provisions regarding refunds, which may not be available.

5. REFUNDS/CANCELLATIONS/CREDITS/SUBSTITUTIONS
5.1 Refunds may be issued in accordance with our Refund Policy.

5.2 In the event you are not eligible for a refund, Program(s) credits (“Credit Voucher(s)”) of equivalent value will be provided instead.

5.3 Credit Voucher(s) are solely redeemable through Erudite, and each Credit Voucher is applicable to one (1) Program at any one time. Credit Voucher(s) may be redeemed within one (1) year from the date of issue.

5.4 Delegate(s)/Attendee(s) are entitled to transfer their ticket to another qualified candidate (“Substitution”). Delegate(s)/Attendee(s) may only be entitled to a substitution if they provide written notice of substitution to Erudite no less than five (5) working days prior to the Program.

5.5 Delegate(s)/Attendee(s) are entitled to only one (1) Substitution without incurring an additional fee. Each subsequent Substitution will incur an additional ten-percent (10%) admin fee.

5.6 In the the unlikely event that Erudite cancels a Program(s), Erudite will refund the full amount and disclaim any further liability.

6. ENQUIRIES
6.1 All enquiries directed to Erudite should preferably be submitted via the designated Contact Form. An enquiry shall be deemed received by Erudite only upon actual receipt.

6.2 Erudite may respond to your enquiry via email or telephone. In the case of email communications, you shall be deemed to have received such correspondence on the date the email is transmitted by Erudite.

7. INTELLECTUAL PROPERTY
7.1 You may use the site only in the manner permitted by the Erudite Terms.

7.2 All intellectual property rights, including without limitation copyrights, trademarks, patents, design rights, and all other proprietary rights of any kind, whether registered or unregistered and existing anywhere in the world, in and to the website are the exclusive property of, or are licensed to, Erudite and its affiliates. Nothing in these Terms shall be construed as conferring or transferring any ownership rights or interests in any intellectual property to you.

8. DISCLAIMER AND LIMITATION OF LIABILITY
8.1 To the extent permitted by law, Erudite provides all content on an “as is” basis and makes no representations, warranties, or conditions of any kind, whether express or implied, including but not limited to any warranties or conditions regarding the operation of the Programs or the accuracy, completeness, or suitability of the information, content, materials, or products made available on or through its website.

9. FORCE MAJEURE
9.1 Erudite shall not be liable or responsible to the other Party, nor be deemed to have defaulted under this Agreement or breached the Terms, for any failure, act, event, delay, omission or accident in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond Erudite’s reasonable control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”) that frustrates the purpose of this Agreement:
(a) acts of God;
(b) flood, fire, earthquake or explosion or other natural disaster;
(c) inability to use public or private telecommunications systems;
(d) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest;
(e) government order or law;
(f) actions, embargoes or blockades in effect on or after the date of this Agreement;
(g) action by any governmental authority;
(h) national or regional emergency;
(i) strikes, labor stoppages or slowdowns or other industrial disturbances;
(j) epidemic, pandemic or similar influenza or bacterial infection (which is defined by the Australian Center for Disease Control as virulent human influenza or infection that may cause global outbreak, or pandemic, or serious illness);
(k) emergency state;
(l) shortage of adequate medical supplies and equipment;
(m) shortage of power or transportation facilities; and
(n) other similar events beyond the reasonable control of Erudite.

9.2 Virtual programs may be subject to interruption, blackout or delays due to internet traffic, or transmission errors due to the public nature of the Internet. Erudite will not be liable for any non-compliance or delay in compliance under this Agreement when caused by events that are force majeure.

9.3 Erudite reserves the right and discretion to suspend, reschedule, or cancel any program affected by Force Majeure Events.

10. INDEMNIFICATION
10.1 You agree to defend, indemnify and hold harmless Erudite (and all sponsors, affiliates, official partners, associates, agents, joint ventures, employees and third-party service providers), from all claims, demands, losses, liabilities, costs, expenses, obligations and damages of every kind, including reasonable legal fees, arising out of:
(a) Your use and access to the website
(b) your violation of any the Erudite Terms and Conditions/Policies; or
(c) your violation of any law or the rights of a third-party (including, but not limited to, any copyright, property, or privacy right).

10.2 This indemnification clause will survive the termination of the Erudite Terms.

11. PRIVACY
11.1 By submitting your email address during the registration process, you agree that Erudite may use your email address to contact you about Programs offered by Erudite, administrative purposes and for any other purpose permitted or required by law. Erudite’s Privacy Policy provides further detail on the manner in which Erudite may collect and use Personal Information about you, including any information you supply in connection with your use of our website.

12. WAIVER
12.1 Erudite’s failure or delay in enforcing any provision of these Terms shall not be construed as a waiver of such provision, nor shall it affect Erudite’s right to enforce any part of these Terms at a later time. Erudite reserves all rights and remedies available to it in the event of any breach of these Terms by you, regardless of any prior failure to enforce its rights.

13. SEVERABILITY
13.1 If at any time any clause or provision of the terms is or shall become illegal, invalid or unenforceable in any respect, it shall be severed or modified to the extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant clause or provision shall be deemed deleted. The legality, validity and enforceability of the remaining provisions of the terms shall not be affected or impaired by any such modification or severance, and shall continue in force as if such illegal, invalid or unenforceable clause or provision was severed from the terms.

14. GOVERNING LAW
14.1 The terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed in accordance with the law of the Australia, without giving effect to any principles of conflict of laws.

14.2 You agree that the courts of Australia shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Erudite terms or its subject matter or formation.
